and services from amarx collection and Your access to and use of and the Website’s content,
including its text, layout, images and graphics and the selection and arrangement thereof

including without limitation the preceding acknowledgement.

OUR SERVICES
Our Services include sourcing, designing, redesigning and recreating one or more pieces of
jewelry (individually and collectively, the “Piece”) for You. We will not perform any Services
for You until You (i) specifically agree to be bound by these Terms of Use, (ii) specifically agree

to the proposed scope of work which will include, among other things, the design We will use to
create or recreate the Piece or the piece of jewelry that We will source for You and the amount
We will charge to perform the Services (the “Proposed Scope of Work”), and (iii) We receive the
deposit set forth in the Proposed Scope of Work. In addition, payment in full is required before
We send the recreated Piece (the “Completed Piece”) or the sourced Piece (the “Sourced Piece”)
to You. Any changes to the Proposed Scope of Work must be in writing and specifically
accepted by both You and Us.
We reserve the right to refuse service to anyone for any reason at any time. We may, in our sole
discretion, limit or cancel quantities purchased per person, per household or per order. These
restrictions may include orders placed by or under the same customer account, the same credit
card, and/or orders that use the same billing and/or shipping address. We reserve the right to
limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or
distributors.
We have made every effort to display as accurately as possible the colors and images of our
products that appear on the Website. We cannot guarantee that your computer monitor's display
of any color will be accurate.
INSURANCE
We insure your jewelry against damage, theft and loss when it is in our possession and when we
ship the Completed Piece or the Sourced Piece to You.
We are not responsible or otherwise liable for jewelry that is damaged, lost or stolen while in
transit from You to Us or at any other time before it is received by Us. We strongly recommend
that when You ship Your jewelry to Us, You insure the jewelry with the carrier at the jewelry’s
full value.
Before sending Your jewelry to Us, We strongly recommend that You have it appraised by a
qualified appraiser. Without a qualified appraisal, it may be difficult if not impossible to
successfully obtain insurance coverage in the event of damage, theft or loss.
RETURNS
Due to the nature of customized and limited edition jewelry, unless notified in writing by Us that
the Completed Piece or the Sourced Piece is returnable or exchangeable, the creation of the
Completed Piece or purchase of the Sourced Piece is a final sale.
PAYMENT
If for any reason We do not receive payment for the Services, a payment is revoked by a credit
card issuer, bank or PayPal or if a payment is found to be fraudulent, We may exercise our rights
in law and equity, including (a) immediately ceasing work on any Services being provided to
You; (b) retaining possession of the Completed Piece or the Sourced Piece until full payment is

received; (c) seeking collection of the outstanding amount owed; and/or (c) seeking legal action
against you for the breach of these Terms.
To the extent We are obligated to collect sales, use or excise taxes based on Your use of the
Services, the applicable tax will be reflected and included in the cost of Services set forth in the
Proposed Scope of Work.
INTELLECTUAL PROPERTY RIGHTS AND LICENSE
You understand and agree that the Website, the Services, the Content and the design(s) shown on
the Proposed Scope of Work and/or embodied in the Completed Piece and the Sourced Piece
(individually and collectively, the “Designs”) are and remain the sole property of amarx
collection or third-party providers, as applicable. Unless otherwise agreed to in writing between
amarx collection and You, amarx collection or third-party providers owns or licenses all
intellectual property including trademarks, copyrights, patents and moral rights in and to the
Website, the Services and the Designs.
You understand and agree that (i) amarx collection possesses the right to copy, reproduce,
modify, adapt, distribute, sell, rent, license, transfer, publicly display and create derivative works
from the Designs and (ii) the Designs may not be unique, original or created specifically for You.
By requesting the Services and providing the Piece to Us, You warrant and represent that You
possess the right to have the Piece redesigned and/or modified and that by redesigning and/or
modifying the Piece, We will not be violating the rights of any third party or any other
restriction, contractual or otherwise, relating to modifying the design or appearance of the Piece.
“AMARX COLLECTION” is a trademark owned by amarx collection LLC. All other
trademarks, service marks, domain names, logos, and company names (collectively “Other
Trademarks”) displayed or referred to on the Website are trademarks, registered trademarks,
service marks, domain names, logos, company names of or are otherwise the property of amarx
collection or their respective owners.
Except as provided in these Terms of Use, amarx collection does not grant You any rights in or
to the amarx collection trademark or the Other Trademarks. You agree that You shall not use the
amarx collection trademark or the Other Trademarks in any manner inconsistent with the
provisions of these Terms of Use, without the prior written authorization of amarx collection or
the respective owners of the Other Trademarks as the case may be.
Except as expressly permitted by amarx collection in writing, You agree that Your license to
access, browse and/or use the Website and the Content is limited solely to a personal, revocable,
nonexclusive, non-transferable license to (i) access and view the Website and the Content, and

BE INSTITUTED ONLY IN A STATE OR FEDERAL COURT LOCATED IN THE STATE
OF NEW YORK, NEW YORK COUNTY, USA. YOU AND AMARX COLLECTION
AGREE TO SUBMIT TO THE JURISDICTION OF AND AGREE THAT VENUE IS PROPER
IN THESE COURTS IN ANY SUCH LEGAL ACTION OR PROCEEDING.
WAIVER
No delay or omission by amarx collection to exercise any right occurring upon any
noncompliance on Your part with respect to any of the terms of these Terms of Use will impair
any such right or power or be construed to be a waiver thereof. Any waiver by amarx collection
of any of the covenants, conditions or Agreements to be performed by You will not be construed
to be a waiver of any succeeding breach thereof or of any covenant, condition or Agreement
herein contained.
SEVERABILITY
